Who we are and what these Terms cover

Lunis Software operates the Website and provides the Services. These Terms apply to the Website and to the free Sim Connect product. SimControl, the commercial venue platform, is licensed under a separate written agreement (the Commercial Agreement). If anything in these Terms conflicts with a Commercial Agreement about SimControl, the Commercial Agreement controls for that product. Our Privacy Policy is incorporated into these Terms by reference.

Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the Services. If you use the Services on behalf of a business or other organization, you represent that you are authorized to accept these Terms for that organization, and the words you and your then refer to it. The Services are not directed to children.

Use of the website

The Website is provided for general information about Lunis and the Services. Its content can change at any time without notice. Nothing on the Website is a binding offer, a warranty, or a promise of any specific feature, availability, price, or result. Some images, product screens, and mockups are illustrative and may not reflect the current product.

Sim Connect, the free product

Subject to these Terms, Lunis grants you a personal, limited, non-exclusive, non-transferable, and revocable license to download and use Sim Connect for your own non-commercial sim racing. Sim Connect links computers that you control over a private network so that you and people you invite can race together in supported titles such as Assetto Corsa.

You are responsible for:

• the computers, networks, and accounts you connect, and keeping them secure;
• obtaining and complying with the licenses for any third-party games and content you run, including Assetto Corsa and any mods or add-ons;
• the conduct of anyone you invite into your sessions.

Sim Connect is provided free of charge and on an as available basis. We may change, limit, suspend, or discontinue it at any time, and it may include pre-release or beta features that can be unstable. You may not reverse engineer, resell, rent, or sublicense Sim Connect, or use it to run a commercial venue or a paid service. SimControl exists for commercial use.

SimControl, the commercial product

SimControl is licensed to venues and businesses under a separate Commercial Agreement or order form that sets out pricing, deployment (cloud, priced per simulator, or a one-time local and offline license), support, service levels, and data terms. The descriptions and prices shown on the Website are for information only and may change. They are not an offer capable of acceptance and do not create a contract until a Commercial Agreement or order is signed or otherwise accepted in writing. Any free trial or pilot, if offered, is provided on an as is basis and may be modified or ended at any time.

Acceptable use

You agree not to:

• break any applicable law or regulation, or infringe the rights of any other person;
• access, tamper with, or disrupt the Services, servers, or networks, or bypass any security measure or rate limit;
• introduce malware, or attempt to gain unauthorized access to any system, account, or data;
• reverse engineer, decompile, or attempt to derive source code, except to the limited extent the law allows despite this restriction;
• copy, resell, rent, sublicense, or commercially exploit the Services except as expressly permitted;
• use the Services to harass, abuse, or harm others, or to send spam;
• misrepresent your identity or affiliation, or submit false or misleading information through the Website forms;
• use automated means to scrape or place undue load on the Website, other than well-behaved search-engine indexing.

We may investigate suspected violations and may suspend or terminate access that violates these Terms or threatens the Services or other users.

Intellectual property

The Services, the Website, and all related software, text, graphics, layouts, and logos, together with the Lunis name and brand, are owned by Lunis Software or its licensors and are protected by intellectual property and other laws. Except for the limited license to use Sim Connect described above, these Terms do not grant you any right, title, or interest in the Services or our intellectual property. You may not use the Lunis name or logos without our prior written permission.

Third-party names and marks, including Assetto Corsa, iRacing, Stripe, Shopify, and Tailscale, belong to their respective owners and are used for identification only. Their use does not imply any endorsement or affiliation.

Feedback

If you send us ideas, suggestions, or other feedback about the Services, you grant Lunis a perpetual, irrevocable, worldwide, and royalty-free license to use it for any purpose, without any obligation or payment to you.

Third-party services and content

The Services may link to or work with third-party products and websites, including game titles, networking tools, and payment and commerce platforms such as Stripe and Shopify. We do not control and are not responsible for third-party services or content, and your use of them is governed by their own terms and privacy policies.

Fees and payment

Sim Connect is free. Paid SimControl plans are billed under the applicable Commercial Agreement or order, which states the fees, the billing cycle (for cloud deployments, per simulator), and any one-time fee (for local and offline licenses). Unless that agreement says otherwise, fees are non-refundable and do not include taxes, which are your responsibility. Payments for paid plans are handled by third-party payment processors under their own terms.

Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. Please review it to understand what we collect and how we use it.

Disclaimers

To the maximum extent permitted by law, the Website, Sim Connect, and any free or trial features are provided on an as is and as available basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error free, or free of harmful components, or that any content is accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. Any warranties for SimControl are stated only in the Commercial Agreement.

Limitation of liability

To the maximum extent permitted by law, Lunis Software and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Website or the free Services, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, the total aggregate liability of Lunis arising out of or relating to the Website and the free Services will not exceed one hundred US dollars (USD 100). Liability relating to SimControl is governed by the Commercial Agreement. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Lunis Software and its personnel from and against any claims, damages, liabilities, and reasonable expenses, including reasonable legal fees, arising out of or relating to your use of the Services, your violation of these Terms, your violation of any law, or your infringement of the rights of any third party, including through any content or systems you connect using Sim Connect.

Suspension and termination

You may stop using the Services at any time. We may suspend or end your access to the Website or the free Services at any time, with or without notice, including if we reasonably believe you have violated these Terms or to protect the Services or other users. Provisions that by their nature should survive termination, including intellectual property, feedback, disclaimers, limitation of liability, indemnification, and governing law, will survive.

Changes to the Services and these Terms

We may modify or discontinue any part of the Services at any time. We may also update these Terms from time to time. When we make a change, we will revise the date at the top of this page, and material changes take effect when posted or on a later date that we state. Your continued use of the Website or the free Services after a change takes effect means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of [the state or country where Lunis is established], without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Before starting any formal claim, you agree to first contact us at contact@lunis.live so that we can try to resolve the matter informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located in [that same place], and you consent to their jurisdiction, except that either party may seek injunctive relief to protect intellectual property or confidential information in any court of competent jurisdiction. Nothing in these Terms removes any mandatory consumer protection rights that apply where you live.

General

• Entire agreement. These Terms, together with the Privacy Policy and, for SimControl, the Commercial Agreement, are the entire agreement between you and Lunis about the Services and replace any prior agreements on the same subject.
• Severability. If any provision is held unenforceable, the rest of the Terms remain in full effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
• Notices. We may provide notices through the Website or by email. You may contact us using the details below.
